Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website at www.driveatrium.com (the "Service"), operated by EV-Solutions LLC d/b/a Atrium Car Rentals ("Atrium", "us", "we", or "our"), a Utah limited liability company at 488 N 900 E, Provo, UT 84606.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of the Terms then You may not access the Service.

Relationship to the Rental Agreement

These Terms govern your use of this website and our online booking, application, and account flow only. They are not the contract under which you rent a vehicle.

Any rental of a vehicle from Atrium is governed by the Master Car Rental Agreement you sign before taking possession (referred to elsewhere in these Terms as the Vehicle Rental Agreement), together with any extension, addendum, or election signed with it. That agreement sets the rental rates, deposit, mileage, insurance requirements, use restrictions, damage terms, return conditions, and everything else about the rental itself.

In any conflict between these Terms and the Master Car Rental Agreement, the Master Car Rental Agreement controls with respect to the rental. Nothing on this website varies a signed agreement, and nothing in these Terms should be read as adding to, limiting, or replacing a term of it.

Two related documents apply to every rental and are cross-referenced by the Master Car Rental Agreement: the Vehicle Data Notice and the Remote Immobilization Policy. How we handle personal information is set out in the Privacy Policy.

1. Vehicle Rental Services

EV-Solutions LLC d/b/a Atrium Car Rentals provides vehicles — currently Tesla Model 3, Tesla Model Y and Toyota Camry Hybrid models; the fleet changes from time to time — for weekly rental to rideshare and gig economy drivers. All rentals are subject to a separate Master Rental Agreement executed electronically before vehicle pickup.

The Vehicle Rental Agreement governs the specific terms of Your rental, including but not limited to rental rates, deposit requirements, insurance coverage, vehicle use restrictions, and return conditions. In the event of any conflict between these Terms and the Vehicle Rental Agreement, the Vehicle Rental Agreement shall prevail with respect to Your vehicle rental.

2. Eligibility

To use our rental services, You must meet the following requirements:

• Be at least 25 years of age
• Hold a valid U.S. driver's license
• Maintain liability insurance as required by law
• Have a valid credit card
• Pass our driver screening process
• Hold an active Uber or Lyft driver account in good standing

We reserve the right to refuse service to anyone who does not meet these requirements or whose driving record does not meet our standards.

3. Application and Approval

Submitting an application through our website does not guarantee approval or vehicle availability. We review all applications and may request additional information or documentation before approval. We reserve the right to decline any application at our sole discretion.

4. Deposits and Payments

A refundable security deposit is required before vehicle pickup. Weekly rental payments are due on the schedule specified in Your Vehicle Rental Agreement. Late payments may result in additional fees as outlined in the Vehicle Rental Agreement.

Deposit refunds are subject to the terms of the Vehicle Rental Agreement and may be reduced for any outstanding charges, damages, or violations.

5. Vehicle Use

Vehicles rented from EV-Solutions LLC d/b/a Atrium Car Rentals are provided exclusively for rideshare and gig economy driving purposes. You agree to:

• Operate the vehicle safely and in compliance with all applicable traffic laws
• Not sublease, assign, or allow unauthorized persons to drive the vehicle
• Keep the vehicle clean and in good condition
• Report any accidents, damage, or mechanical issues immediately
• Not use the vehicle for illegal purposes
• Not smoke, vape, or use tobacco products in the vehicle
• Not modify the vehicle in any way
• Return the vehicle in the same condition it was received, minus normal wear and tear

Vehicle usage limits and any additional use restrictions, if applicable, are specified in Your Vehicle Rental Agreement.

6. Insurance

EV-Solutions LLC d/b/a Atrium Car Rentals does not provide insurance coverage of any kind. You are required to maintain your own valid personal automobile insurance covering your use of the rental vehicle, including liability coverage as required by law and by the rideshare or delivery platforms on which You operate. Proof of insurance is required before vehicle pickup and must remain valid for the duration of Your rental.

You are responsible for understanding and meeting the insurance requirements of the rideshare and delivery platforms on which You operate. Specific insurance obligations are set out in Your Vehicle Rental Agreement.

7. Website Use

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates any applicable local, state, or federal law
• Submit false, inaccurate, or misleading information through any form on the website
• Attempt to gain unauthorized access to any portion of the website or its systems
• Use any automated means to access the website or collect information from it
• Interfere with or disrupt the website or its servers

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of EV-Solutions LLC d/b/a Atrium Car Rentals. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of EV-Solutions LLC d/b/a Atrium Car Rentals.

9. SMS Communications

By providing Your phone number and consenting to receive text messages through our application form, You agree to receive SMS communications from EV-Solutions LLC d/b/a Atrium Car Rentals. These messages may include application updates, vehicle scheduling, maintenance reminders, payment notifications, and promotional offers.

Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP to any message or by contacting us at info@driveatrium.com or (385) 204-4272. For help, reply HELP to any message.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall EV-Solutions LLC d/b/a Atrium Car Rentals, its owners, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of Your transmissions or content

11. Disclaimer

Your use of the Service is at Your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

EV-Solutions LLC d/b/a Atrium Car Rentals does not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Any earnings figures referenced on the Service are reports from individual drivers or estimates based on publicly available platform information. They are illustrative only, vary by individual, hours worked, location, and demand, and are not a guarantee or projection of income.

EV-Solutions LLC d/b/a Atrium Car Rentals is an independent company and is not affiliated with, endorsed by, or sponsored by Tesla, Inc., Uber Technologies, Inc., Lyft, Inc., or any rideshare or delivery platform.

12. Indemnification

You agree to defend, indemnify, and hold harmless EV-Solutions LLC d/b/a Atrium Car Rentals and its owners, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Your violation of these Terms or Your use of the Service.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law provisions.

Disputes about a rental are governed by the dispute-resolution clause of your Master Car Rental Agreement, not by this section. Under that agreement, after a 30-day good-faith effort to resolve the matter, disputes are resolved by binding individual arbitration under the AAA Consumer Arbitration Rules — except that either party may bring a qualifying claim in small claims court — and both parties waive class actions and class-wide arbitration. Utah law governs, and for any matter not sent to arbitration the parties consent to the courts of Utah County, Utah.

For a dispute that concerns only your use of this website and does not arise from a rental, the same terms apply: individual arbitration under the AAA Consumer Arbitration Rules with a small-claims carve-out, Utah law, and Utah County venue for any matter not sent to arbitration. These Terms and the Master Car Rental Agreement are written to say the same thing so that the two documents do not conflict; if they ever do, the Master Car Rental Agreement controls.

14. Termination

We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination.

15. Changes to Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, please stop using the Service.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any Vehicle Rental Agreement, constitute the entire agreement between You and EV-Solutions LLC d/b/a Atrium Car Rentals regarding the use of the Service and supersede all prior agreements and understandings.

18. Distracted Driving Policy

Atrium requires every renter and every authorized secondary driver to operate the vehicle free of distraction at all times. This policy is part of Your Vehicle Rental Agreement and applies whenever the vehicle is in motion.

• Hands-free only. You must use a hands-free device or Bluetooth for any mobile-phone use while the vehicle is in motion. Holding, texting, typing, reading, or otherwise manually operating a phone or other device while driving is prohibited.
• No headphones. You may not wear headphones or earbuds while driving.
• Passengers. While the vehicle is being operated on a rideshare or delivery platform, the only passengers permitted are the matched rider(s) and their guests, together with any Atrium employee or authorized representative. No other person may be transported for hire or compensation.
• Attention to the driving task. Eating, grooming, reading, watching video, or any other activity that removes Your eyes from the road, hands from the wheel, or attention from driving is prohibited while the vehicle is in motion.
• Driver-assistance features. Autopilot and Full Self-Driving (Supervised), where equipped, do not make the vehicle autonomous. They require hands on the wheel and eyes on the road at all times. Devices or techniques intended to defeat steering-wheel or driver-monitoring controls are strictly prohibited.

Violation of this policy is a material breach of Your Vehicle Rental Agreement, may void the Loss Damage Waiver for the related incident, and is grounds for immediate termination of Your rental and removal from the platform.

19. Prohibited Vehicle Uses

The following are prohibited at all times. This list supplements, and does not limit, the operating restrictions in Your Vehicle Rental Agreement.

• Unapproved drivers. Only You and one Authorized Secondary Driver who has completed the same application, identity verification, and MVR and background screening, and been approved by Atrium in writing, may operate the vehicle.
• Subleasing or re-renting the vehicle to any other person, on any platform, for any reason.
• Operating outside the permitted territory — the vehicle must remain within a 60-mile radius of Salt Lake City, Utah. Travel into Mexico or Canada is never permitted.
• Impaired operation — operating the vehicle under the influence of alcohol, cannabis, or any impairing substance.
• Unapproved commercial use — rideshare use on Uber and Lyft is permitted; delivery-platform or other commercial use requires Atrium’s prior written approval.
• Towing, off-road use, racing, or speed contests of any kind.
• Transporting illegal or hazardous materials, or using the vehicle in the commission of any crime.
• Vehicle modifications, or tampering with or circumventing any speed limiter, telematics, geofence, or connected-platform reporting.
• Smoking, vaping, or cannabis use in the vehicle, and pets without prior approval.

20. Promotions and Discount Codes

From time to time, EV-Solutions LLC d/b/a Atrium Car Rentals offers promotional discount codes. All promotions are subject to the following terms, in addition to any terms stated in the specific offer:

• One code per rental. Only one promotional code may be applied per customer and per rental agreement. Codes cannot be combined, stacked, or used together — for example, COMMIT3 and SWITCH cannot both be applied to the same rental.
• New rentals only. Codes must be entered in the application promo-code field or mentioned to a team member before Your Vehicle Rental Agreement is signed. Codes cannot be applied retroactively to an active or completed rental.
• No cash value. Promotional discounts have no cash value, are non-transferable, and cannot be redeemed for cash, credit, or a reduction of the security deposit.
• Subject to approval and availability. All promotions are contingent on application approval, vehicle availability, and a signed Vehicle Rental Agreement. Atrium may modify, suspend, or end any promotion at any time; changes will not affect discounts already applied to a signed agreement.

COMMIT3 — Commit & Save (first week 50% off with a 3-month commitment). Enter code COMMIT3 in the application promo-code field (or mention it to a team member before signing). In exchange for the discount, You agree to a minimum rental commitment of three (3) consecutive months (a 90-day / 13-week term) of continuous, paid possession under a signed Vehicle Rental Agreement. The discount applies as follows and is subject to these terms:

• What's discounted. Fifty percent (50%) off the rent portion of Your first weekly rental payment only. Applicable taxes, the security deposit, insurance/LDW and other optional add-ons, and any other fees are not discounted and remain due in full.
• The commitment. The discount is given specifically in consideration of Your 3-month commitment. You agree to maintain the rental and keep all payments current for the full 90-day term.
• Deposit forfeiture as liquidated damages. If You end the rental early, stop paying, are terminated for cause, return the Vehicle, or otherwise fail to complete the full 3-month term for any reason other than Atrium's fault, You agree that Your entire $300 security deposit is forfeited to Atrium as liquidated damages — not as a penalty. The parties agree that the actual damages from an early exit (the value of the first-week discount already given, plus vehicle turnover, downtime, and administrative costs) are difficult to calculate precisely, and that $300 is a reasonable pre-estimate of those damages. This forfeiture is in addition to, and does not cap or limit, any other amounts You owe under the Vehicle Rental Agreement (including unpaid rent, the retroactive short-term tax liability that applies if the rental ends before 31 days, damage, mileage, or other charges).
• Limits. Limit one per customer, first rental only, subject to application approval and vehicle availability. Cannot be combined with SWITCH or any other code.

SWITCH — Switch & Save ($50 off each of your first 4 weeks). Available to drivers switching to Atrium from another vehicle rental provider (for example, Hertz or Avis). To qualify, You must present a receipt or invoice from Your most recent booking with the other provider, in Your name and dated within the last 30 days, at or before vehicle pickup. Without valid proof, the code will not be applied. A discount of $50 applies to each of Your first four weekly rental payments (up to $200 total); if the rental ends before a given week, the remaining discounts are forfeited and have no cash value. Limit one per customer, first rental only. Cannot be combined with COMMIT3 or any other code.

Loyalty discount (13th week). After 12 consecutive paid weeks under the same Vehicle Rental Agreement, Your 13th week is discounted by $100. Applies once per 13-week period, requires the account to be in good standing, and is separate from promotional codes.
