Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Atrium Car Rentals website at www.driveatrium.com (the "Service") operated by Atrium Car Rentals ("us", "we", or "our").

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of the Terms then You may not access the Service.

1. Vehicle Rental Services

Atrium Car Rentals provides Tesla Model 3 Long Range vehicles for weekly rental to rideshare and gig economy drivers. All rentals are subject to a separate Vehicle Rental Agreement executed at the time of vehicle pickup.

The Vehicle Rental Agreement governs the specific terms of Your rental, including but not limited to rental rates, deposit requirements, insurance coverage, vehicle use restrictions, and return conditions. In the event of any conflict between these Terms and the Vehicle Rental Agreement, the Vehicle Rental Agreement shall prevail with respect to Your vehicle rental.

2. Eligibility

To use our rental services, You must meet the following requirements:

• Be at least 21 years of age
• Hold a valid U.S. driver's license
• Maintain liability insurance as required by law
• Have a valid credit or debit card
• Pass our driver screening process
• Be approved on at least one rideshare or gig economy platform (Uber, Lyft, DoorDash, etc.)

We reserve the right to refuse service to anyone who does not meet these requirements or whose driving record does not meet our standards.

3. Application and Approval

Submitting an application through our website does not guarantee approval or vehicle availability. We review all applications and may request additional information or documentation before approval. We reserve the right to decline any application at our sole discretion.

4. Deposits and Payments

A refundable security deposit is required before vehicle pickup. Weekly rental payments are due on the schedule specified in Your Vehicle Rental Agreement. Late payments may result in additional fees as outlined in the Vehicle Rental Agreement.

Deposit refunds are subject to the terms of the Vehicle Rental Agreement and may be reduced for any outstanding charges, damages, or violations.

5. Vehicle Use

Vehicles rented from Atrium Car Rentals are provided exclusively for rideshare and gig economy driving purposes. You agree to:

• Operate the vehicle safely and in compliance with all applicable traffic laws
• Not sublease, assign, or allow unauthorized persons to drive the vehicle
• Keep the vehicle clean and in good condition
• Report any accidents, damage, or mechanical issues immediately
• Not use the vehicle for illegal purposes
• Not smoke, vape, or use tobacco products in the vehicle
• Not modify the vehicle in any way
• Return the vehicle in the same condition it was received, minus normal wear and tear

6. Insurance

Atrium Car Rentals provides Collision Damage Waiver (CDW) insurance as part of the weekly rental rate. This coverage is subject to its own terms, conditions, and exclusions. CDW coverage does not replace Your obligation to maintain personal liability insurance as required by law and by rideshare platforms.

You are responsible for understanding the insurance requirements of the rideshare platforms on which You operate.

7. Website Use

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates any applicable local, state, or federal law
• Submit false, inaccurate, or misleading information through any form on the website
• Attempt to gain unauthorized access to any portion of the website or its systems
• Use any automated means to access the website or collect information from it
• Interfere with or disrupt the website or its servers

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Atrium Car Rentals. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Atrium Car Rentals.

9. SMS Communications

By providing Your phone number and consenting to receive text messages through our application form, You agree to receive SMS communications from Atrium Car Rentals. These messages may include application updates, vehicle scheduling, maintenance reminders, payment notifications, and promotional offers.

Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP to any message or by contacting us at ben.hirsch@driveatrium.com or (385) 204-4272. For help, reply HELP to any message.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Atrium Car Rentals, its owners, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of Your transmissions or content

11. Disclaimer

Your use of the Service is at Your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Atrium Car Rentals does not guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

12. Indemnification

You agree to defend, indemnify, and hold harmless Atrium Car Rentals and its owners, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Your violation of these Terms or Your use of the Service.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Utah County, Utah.

14. Termination

We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination.

15. Changes to Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, please stop using the Service.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any Vehicle Rental Agreement, constitute the entire agreement between You and Atrium Car Rentals regarding the use of the Service and supersede all prior agreements and understandings.
